Last Updated: August 15, 2026These Buyer Terms & Conditions govern all business transactions, quotations, sourcing arrangements, product supply, export coordination, documentation support, logistics coordination, and related services provided by Global Source Expo Limited to buyers, importers, distributors, wholesalers, retailers, corporate clients, and commercial partners.
By placing an enquiry, requesting a quotation, confirming an order, issuing a purchase order, making payment, accepting a proforma invoice, or engaging with Global Source Expo Limited for any commercial transaction, the buyer agrees to be bound by these Terms & Conditions.
For the purpose of these Terms & Conditions, the term "Global Partner" refers exclusively to any approved goods-supplying business partner, including a manufacturer, producer, exporter, processor, packer, authorised trading partner, or product-originating commercial entity that is legally engaged, appointed, introduced, coordinated, or facilitated by Global Source Expo Limited for the purpose of fulfilling buyer requirements.
Global Partners are not ordinary third-party global partners. They are recognised business partners operating with Global Source Expo Limited under a lawful commercial partnership framework, written understanding, appointment, cooperation arrangement, mandate, or other recognised business instrument applicable to the relevant transaction, product category, market, or jurisdiction.
Where a Global Partner supplies goods in connection with a buyer order, such Global Partner is commercially aligned with Global Source Expo Limited for the purpose of buyer fulfilment, product coordination, order execution, documentation support, and international trade delivery. Accordingly, Global Source Expo Limited and the relevant Global Partner may present and operate as a coordinated, unified commercial force in relation to the buyer-facing transaction.
The buyer acknowledges that Global Partners may be legally entitled, authorised, or commercially empowered by Global Source Expo Limited to support the fulfilment of confirmed buyer requirements, including product supply, packaging coordination, production support, export preparation, quality-related coordination, documentation support, and shipment-related cooperation, as applicable to the agreed transaction.
Any engagement, communication, quotation support, product confirmation, documentation support, inspection cooperation, or delivery coordination involving a Global Partner shall be understood as part of Global Source Expo Limited's authorised partnership-based business model, unless expressly stated otherwise in writing.
No buyer shall treat any Global Partner introduced, identified, coordinated, or facilitated by Global Source Expo Limited as an independent opportunity outside Global Source Expo Limited's commercial involvement. All such relationships, introductions, product sources, and transaction channels shall remain protected under these Terms & Conditions, including confidentiality and non-circumvention obligations.
For clarity, the partnership framework described in this clause is intended to establish lawful commercial alignment, buyer fulfilment authority, and coordinated transaction responsibility. It shall not be interpreted as requiring Global Source Expo Limited to disclose internal commercial arrangements, partner agreements, pricing structures, operational procedures, or confidential business policies to the buyer.
Global Source Expo Limited provides professional B2B trade, sourcing, export coordination, buyer support, documentation coordination, logistics coordination, and international business facilitation services.
The exact scope of service shall depend on the confirmed quotation, proforma invoice, commercial invoice, purchase order, written agreement, order confirmation, or official communication issued by Global Source Expo Limited.
Global Source Expo Limited may coordinate with Global Partners to support buyer requirements; however, the company's internal processes, partner selection methods, negotiation structure, operational strategy, and commercial working policy shall remain confidential and shall not be disclosed to buyers or third parties.
The buyer is responsible for providing accurate, complete, and timely information regarding product requirements, quantity, quality expectations, specifications, packaging, labelling, destination country, delivery terms, documentation requirements, compliance requirements, certification requirements, and any applicable import regulations.
Global Source Expo Limited shall not be responsible for delays, additional costs, rejection of goods, customs issues, documentation issues, shipment complications, or commercial losses caused by inaccurate, incomplete, delayed, unclear, or misleading information provided by the buyer.
The buyer must ensure that all instructions, requirements, and approvals are provided in writing.
All product details, descriptions, images, catalogues, technical information, samples, certifications, specifications, and commercial materials are provided for reference and business evaluation purposes only unless expressly confirmed in writing by Global Source Expo Limited.
The buyer must carefully review and approve all product specifications, packaging details, labelling requirements, quality expectations, certification requirements, documentation requirements, and order details before final confirmation.
Once an order is confirmed, any requested amendment may be subject to additional cost, revised quotation, production delay, Global Partner approval, availability, or updated commercial terms.
All quotations issued by Global Source Expo Limited are subject to availability, Global Partner confirmation, currency fluctuation, raw material price changes, freight rate changes, tax changes, documentation costs, regulatory changes, and market conditions.
Unless otherwise stated in writing, quotations are valid only for the period mentioned in the quotation. If no validity period is mentioned, the quotation shall be subject to reconfirmation before acceptance.
Prices may exclude freight, insurance, customs duties, import taxes, VAT, inspection charges, certification charges, bank charges, documentation fees, storage charges, port charges, demurrage, detention, and destination charges unless specifically included in writing.
A quotation shall not constitute a binding obligation until confirmed through an official proforma invoice, written order confirmation, accepted purchase order, or other formal written acceptance by Global Source Expo Limited.
An order shall be considered confirmed only when the buyer accepts the commercial terms in writing and completes the required payment, deposit, financial instrument, or other agreed confirmation requirement stated in the proforma invoice or order confirmation.
Global Source Expo Limited reserves the right to decline, suspend, or cancel any order where payment is not received, buyer information is incomplete, compliance requirements are unclear, product requirements are impractical, or the transaction presents legal, financial, operational, reputational, or regulatory risk.
Payment terms shall be agreed in writing before order execution. Payment may be required by advance payment, deposit and balance payment, bank transfer, letter of credit, documentary collection, or any other agreed payment method.
All bank charges, intermediary bank fees, currency conversion costs, remittance charges, and payment-related deductions shall be borne by the buyer unless otherwise agreed in writing.
Global Source Expo Limited shall not be required to initiate product coordination, Global Partner engagement, production arrangement, documentation preparation, inspection coordination, logistics booking, or shipment arrangement until the agreed payment has been received and cleared.
Any delay in payment may result in delayed order processing, revised pricing, changed availability, or cancellation of the order.
Where payment is made by Letter of Credit, the buyer must ensure that the Letter of Credit is issued by an acceptable bank and contains clear, workable, commercially reasonable, and mutually agreed terms.
Any amendment, discrepancy, delay, bank rejection, documentation inconsistency, additional banking cost, or non-payment arising from the buyer's Letter of Credit terms shall be the buyer's responsibility.
Global Source Expo Limited reserves the right to review, request amendment, reject, or decline any Letter of Credit that contains impractical, unclear, high-risk, inconsistent, or commercially unacceptable terms.
Samples may be provided upon buyer request subject to availability, payment, courier cost, Global Partner approval, documentation requirements, and applicable regulations.
Samples are provided for evaluation purposes only. Final bulk production may have reasonable commercial variations in colour, size, texture, weight, packaging, labelling, finish, presentation, or other characteristics unless strict tolerances are expressly agreed in writing.
Approval of a sample by the buyer shall be considered confirmation of the relevant product standard, appearance, and commercial acceptability unless otherwise stated in writing.
Global Source Expo Limited will make reasonable commercial efforts to coordinate with Global Partners and relevant parties to support agreed quality expectations.
The buyer is responsible for confirming whether pre-shipment inspection, third-party inspection, laboratory testing, certification verification, product testing, factory audit, loading inspection, or compliance verification is required.
Where inspection is required, the buyer must confirm the inspection method, inspection standard, inspection company, cost responsibility, acceptance criteria, and timeline before shipment.
If the buyer does not request inspection before shipment, goods may be shipped based on available Global Partner confirmation, standard commercial checks, or agreed documentation. Claims made after shipment may be limited depending on the nature of the product, evidence provided, order terms, and applicable trade conditions.
The buyer is fully responsible for understanding and complying with all laws, regulations, import rules, customs requirements, licensing requirements, product standards, safety standards, labelling regulations, tax obligations, certification requirements, and market-specific requirements applicable in the destination country.
Global Source Expo Limited may provide general commercial guidance or documentation coordination; however, such support shall not be considered legal, customs, tax, regulatory, technical, or compliance advice.
The buyer must independently verify whether the goods are permitted for import, distribution, resale, consumption, or commercial use in the destination market.
Global Source Expo Limited shall not be liable for rejection, penalty, seizure, delay, customs hold, regulatory action, or commercial loss caused by the buyer's failure to comply with destination country requirements.
Export documents may include, where applicable, commercial invoice, packing list, bill of lading, airway bill, certificate of origin, health certificate, phytosanitary certificate, inspection certificate, insurance certificate, test report, certificate of analysis, fumigation certificate, or other trade-related documents.
The availability, timeline, and cost of documents may depend on product category, origin country, destination country, Global Partner capability, issuing authority, shipping method, regulatory requirement, and buyer instruction.
The buyer must clearly confirm all required documents before shipment. Global Source Expo Limited shall not be responsible for destination clearance issues caused by documents that were not requested, confirmed, or agreed before shipment.
Any document amendment after issuance may be subject to additional cost, authority approval, Global Partner cooperation, shipping line approval, and processing time.
Delivery terms shall be governed by the agreed Incoterms or written commercial terms stated in the quotation, proforma invoice, commercial invoice, purchase order, contract, or order confirmation.
Risk, cost, responsibility, insurance, customs clearance, delivery obligation, and transfer of responsibility shall be interpreted according to the agreed trade terms.
Any delivery date, shipment date, transit time, vessel schedule, airline schedule, or arrival date provided is an estimate only unless expressly guaranteed in writing.
Global Source Expo Limited shall not be liable for delay caused by Global Partners, shipping lines, airlines, ports, customs authorities, inspection agencies, government authorities, weather conditions, strikes, congestion, documentation delay, regulatory hold, force majeure, or any circumstance beyond reasonable control.
The buyer is responsible for customs clearance, import duties, taxes, VAT, port charges, terminal charges, storage, demurrage, detention, customs broker fees, local transportation, documentation presentation, and all destination-related charges unless otherwise agreed in writing.
The buyer must arrange all destination-side requirements in a timely manner.
Failure by the buyer to clear goods, pay duties, submit required documents, arrange delivery, or respond to customs requirements on time may result in additional charges, delays, storage, demurrage, detention, disposal, return shipment, or abandonment of goods. Such charges and consequences shall be fully borne by the buyer.
Once an order is confirmed, cancellation or modification may not be possible if Global Partner coordination, procurement, production, packaging, labelling, documentation, inspection, booking, logistics, or shipment arrangements have already started.
Where cancellation or modification is accepted, the buyer shall be responsible for all costs, losses, Global Partner charges, administrative expenses, banking charges, production costs, documentation costs, logistics charges, and any other liabilities incurred.
Deposits, advance payments, service charges, documentation charges, inspection charges, and other committed costs may be non-refundable depending on the stage of order execution.
Any claim relating to product quantity, quality, damage, shortage, documentation, packaging, labelling, or shipment must be submitted in writing within a reasonable time after receipt of goods and must be supported by clear evidence, including photographs, videos, inspection reports, shipping documents, unloading records, customs records, and relevant third-party reports where applicable.
Claims without sufficient evidence may not be accepted.
Global Source Expo Limited shall not be responsible for claims arising from improper handling, incorrect storage, unsuitable transportation, customs delay, buyer's failure to inspect, incorrect usage, resale conditions, natural product variation, buyer-approved specifications, or circumstances beyond Global Source Expo Limited's reasonable control.
All disputes shall first be addressed through professional negotiation in good faith.
To the maximum extent permitted by law, Global Source Expo Limited shall not be liable for indirect loss, loss of market opportunity, loss of business opportunity, reputational damage, production loss, buyer's resale loss, penalties, customs rejection, regulatory action, or consequential damages.
Any liability of Global Source Expo Limited shall be limited to the value of the specific service fee, commission, or commercial margin received by Global Source Expo Limited for the relevant transaction, unless otherwise required by applicable law.
Global Source Expo Limited shall not be liable for independent actions, omissions, delays, pricing changes, documentation limitations, quality issues, or operational failures of any third-party entity or Global Partner beyond the reasonable control of Global Source Expo Limited.
All quotations, pricing, commercial communications, Global Partner information, trade contacts, sourcing details, product information, documentation, strategy, business correspondence, market information, and commercial materials shared by Global Source Expo Limited are confidential.
The buyer shall not disclose, copy, distribute, misuse, publish, transfer, or share such information with any third party without prior written consent from Global Source Expo Limited.
This confidentiality obligation shall continue even after the completion, cancellation, or termination of any transaction or business relationship.
All company profiles, brochures, catalogues, presentations, business documents, brand materials, trade information, written content, commercial materials, templates, designs, and communication materials provided by Global Source Expo Limited remain the intellectual property of Global Source Expo Limited or the respective rights holder.
The buyer shall not reproduce, modify, publish, distribute, imitate, copy, or use such materials for unauthorised commercial purposes without written approval.
The buyer agrees to conduct business in a lawful, ethical, professional, and transparent manner.
The buyer shall not engage in bribery, corruption, fraud, money laundering, sanctions violations, false documentation, illegal trade, prohibited product movement, tax evasion, customs fraud, or any activity that may expose Global Source Expo Limited to legal, financial, operational, regulatory, or reputational risk.
Global Source Expo Limited reserves the right to refuse, suspend, or terminate any transaction that appears suspicious, unlawful, unethical, non-compliant, or commercially unacceptable.
All important commercial instructions, approvals, changes, specifications, payment confirmations, documentation requirements, shipment instructions, and claims must be provided in writing.
Verbal discussions shall not be considered final or binding unless confirmed in writing by Global Source Expo Limited.
Global Source Expo Limited shall not be responsible for errors, delays, or disputes caused by unclear, informal, incomplete, or unconfirmed communication from the buyer.
Global Source Expo Limited shall not be liable for delay, failure, non-performance, additional cost, or cancellation caused by events beyond reasonable control, including but not limited to natural disasters, war, political unrest, civil disturbance, pandemic, epidemic, port congestion, shipping disruption, labour strikes, Global Partner failure, government restriction, customs delay, inspection delay, cyber incident, power failure, currency restriction, banking disruption, regulatory change, or international trade disruption.
In such circumstances, performance may be suspended, extended, modified, renegotiated, or cancelled depending on commercial feasibility.
Global Source Expo Limited may suspend or terminate business dealings with any buyer in the event of non-payment, breach of terms, abusive communication, unlawful request, reputational risk, compliance concern, false information, misuse of documents, non-cooperation, circumvention attempt, or failure to act in a professional commercial manner.
Termination shall not affect any outstanding payment obligation, confidentiality duty, non-circumvention obligation, liability already incurred, or legal rights available to Global Source Expo Limited.
Unless otherwise agreed in writing, these Terms & Conditions shall be governed by the laws of the jurisdiction in which Global Source Expo Limited is legally registered or principally operates.
Any dispute shall first be addressed through good-faith commercial negotiation. If unresolved, the dispute may be referred to the competent court, arbitration body, or dispute resolution forum agreed between the parties.
Global Source Expo Limited reserves the right to take legal action in any jurisdiction where the buyer operates, holds assets, conducts business, or where enforcement may be necessary.
These Terms & Conditions, together with the relevant quotation, proforma invoice, commercial invoice, purchase order, written agreement, order confirmation, or official communication, represent the commercial understanding between Global Source Expo Limited and the buyer.
Any exception, amendment, waiver, or special condition shall only be valid if confirmed in writing by Global Source Expo Limited.
If any part of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions shall continue to remain valid and enforceable.
By proceeding with an enquiry, quotation request, order confirmation, payment, shipment arrangement, documentation request, or any commercial transaction with Global Source Expo Limited, the buyer confirms that they have read, understood, and accepted these Buyer Terms & Conditions.
